Between Us IVONNE CHAVARRIA CERDAS, a major businesswoman, resident of the Province of Heredia, Canton of San Pablo Heredia, holder of ID number 700350690, hereinafter referred to for the purposes of this Contract as THE COMPANY GRUPO CORPORATIVO SHAY GYS SOCIEDAD DE RESPONSABILITAD LIMITADA AND ___________________, a major businesswoman, non-resident of _________________, who hereinafter referred to as BUSINESSMAN COMMISSIONER SHAY, have agreed to enter into this document.

CONTRACT FOR THE MARKETING OF FOOD PRODUCTS AND GIFTS, which shall be governed by the following clauses and, additionally, by the Commercial Code, Civil Code, International Conventions on Commercial Matters, Jurisprudence and Civil Votes in Costa Rican Courts.

FIRST CLAUSE: By signing this application to GRUPO CORPORATIVO SHAY GYS SOCIEDAD DE RESPONSABILIDAD LIMITADA, the signatory, declared SHAY COMMISSIONER BUSINESSMAN, agrees to enter into a Contract with GRUPO CORPORATIVO SHAY GYS DE RESPONSABILIDAD LIMITADA to operate as SHAY COMMISSIONER BUSINESSMAN in accordance with the terms and conditions established herein. The purpose of this contract is that the SHAY COMMISSIONER BUSINESSMAN can recommend and suggest the Online Store of the company www.shay-corp.com where all our products and gifts that we sell to their referrals are found in order to generate commissions on the sales of their referrals' products to the Store.

SECOND CLAUSE: Acknowledgement and Acceptance of the Contract and the incorporated documents. The SHAY COMMISSION ENTREPRENEUR acknowledges having read and understood these terms and conditions and agrees to be bound by them.

THIRD CLAUSE: The SHAY COMMISSION ENTREPRENEUR acknowledges having received his SHAY COMMISSION ENTREPRENEUR Affiliation plastic with his first and last names and Sponsor number as well as making the purchase of a combo of two or three products in Our Store www shay-corp com in order to start referring his affiliates to our store www.shay-corp.com

FOURTH CLAUSE: From the moment you accept this contract, you will be named SHAY COMMISSION ENTREPRENEUR in the marketing stage. You have the right to participate in the monthly product drawings, place orders for your products and also receive commissions from the purchases of your affiliates to Our Store www.shay-corp.com. The Sales and Commissions plan will always be in the company's Tutorial Sales Manual as well as in our meetings with our SHAY COMMISSION ENTREPRENEURS announced monthly in our store www.shay-corp.com

FIFTH CLAUSE: The commissions to be paid to COMMISSION ENTREPRENEURS will always be available on our website shay-corp.com as well as you can refer clients anywhere in the world where shay-corp.com has products worldwide since each country has its own Products and Gifts Store.

SIXTH CLAUSE: THE SHAY COMMISSIONER BUSINESSMAN does not create an employment or subordination relationship between the SHAY COMMISSIONER BUSINESSMAN and SHAY GYS CORPORATE GROUP OF LIMITED LIABILITY and accepts as an independent COMMISSIONER contractor with respect to its activities in accordance with this contract and that its sole responsibility is to purchase products from the store www.shay-corp.com for subsequent resale at its own risk and expense. In no case should this Contract be construed as constituting an employment relationship of franchise agency or any other relationship of dependence or subordination between the SHAY COMMISSIONER BUSINESSMAN and SHAY GYS CORPORATE GROUP OF LIMITED LIABILITY, therefore the SHAY COMMISSIONER BUSINESSMAN renounces any action or claim arising from the foregoing. In addition, he is not required to show up or wear company uniforms, nor is he required to meet sales goals. He does everything independently and on his own to refer to our store www.shay-corp.com

SEVENTH CLAUSE: In accordance with the Sales Plan for such purposes, the SHAY COMMISSIONER BUSINESSMAN must send to GRUPO CORPORATIVO SHAY GYS DE RESPONSABILIDAD LIMITADA the details of the bank account, which must be in the name of the owner of the SHAY COMMISSIONER BUSINESSMAN and, based on the legal and fiscal requirements of Costa Rica, issue the corresponding fiscal invoice for the correct payment.

EIGHTH CLAUSE: SHAY GYS CORPORATE GROUP OF LIMITED LIABILITY may, at its sole discretion, modify the Terms of the SHAY COMMISSIONER Contract, including the Terms and Conditions of the Incorporated Documents, in whole or in part, by expressly notifying the SHAY COMMISSIONER BUSINESSMEN of such modification(s) that they are accepted through their publications, emails or on the website www.shay-corp.com. NINTH CLAUSE: SHAY COMMISSION ENTREPRENEUR and SHAY CORPORATE GROUP GYS SOCIEDAD DE RESPONSABILIDAD LIMITADA may terminate the SHAY COMMISSION ENTREPRENEUR Contract at any time and for any reason by giving written notice to the other party 30 days in advance or by simple notification without the need for a court ruling and with immediate effect in the event of non-compliance by the other party with any of its obligations arising from the SHAY COMMISSION ENTREPRENEUR Contract.

TENTH CLAUSE: To the extent permitted by law, GRUPO CORPORATIVO SHAY GYS SOCIEDAD RESPONSABILIDAD LIMITADA shall not be liable for any indirect or consequential damages or losses caused or arising from this Agreement. The SHAY COMMISSIONER BUSINESSMAN therefore agrees to indemnify and hold harmless GRUPO CORPORATIVO SHAY GYS SOCIEDAD DE RESPONSABILIDAD LIMITADA from any damage or injury, complaint, claim or expense, including costs, expenses and legal fees that may arise in relation to the activities that the SHAY COMMISSIONER BUSINESSMAN has carried out in a manner contrary to and in violation of this contract.
